Banking and Finance is the Law Firm’s core practice. The Law Firm has attracted as clients leading banks, financial institutions and entrepreneurs alike who have come to bank on the Law Firm’s passion and to borrow from the varied and in-depth experience of the Law Firm in the field of Banking and Finance.
The Law Firm acts for Banks and Financial Institutions in:
- Complex multi-jurisdictional and syndicated lending transactions;
- Project, commodity and trade finance arrangements, and
- Mortgage and typical secured and unsecured credit and working capital facilities.
The Law Firm has among its clients a healthy mix of Kenya’s leading banks as well as mid-sized and specialized banks and financial institutions. The Law Firm has been recognized (and named as such in their financial reports) by some of these clients as lead legal advisers.
The Law Firm acts for vendors and purchasers in the acquisition and disposal of residential, commercial, industrial and agricultural properties and for property owners and developers in drafting and negotiating leases.
The Law Firm also advises and acts in the planning, development and leasing aspects of major retail and other commercial developments (including the preparation and negotiation of leases).
With the rapid growth of the property development market in Kenya over the last several years, The Law Firm has also been engaged by property developers and lenders in the property financing aspects including equity and debt structuring.
Following the enactment of new land laws and the move by the Government to digitise the Lands Registry Records, the Law Firm has taken the lead in assisting its client in the process of Verification, Conversion and Replacement of Titles.
The Law Firm is often consulted in transactions involving mergers and acquisitions, takeovers and disposals (including undertaking legal due diligence and legal audits) and also acts in and advises on joint and capital venture transactions and investment agreements.
The Law Firm also undertakes the incorporation of companies and setting up of off-shore and special purpose vehicles and is engaged in structuring shareholders’ agreements and in corporate restructuring and re-organisation transactions.
With the coming into force of Kenya’s Companies Act, 2015, the duties of Directors and their responsibilities to the Company and Shareholders has been enhanced and brought into focus. The need to take and keep proper minutes and records is now paramount and the role of a qualified Company Secretary requires no emphasis especially with the normal challenges of inefficient or inadequate Companies Registry records.
With the enactment of new Companies Act regulations, the Law Firm is now assisting its clients in various aspect of updating of Companies Registry records including filing of Annual Returns and Beneficial Ownership information.
For clients requiring Company Secretarial Services, whether on a contract basis or for a specific purpose, the Law Firm (in conjunction with associate providers) will structure appropriate service level agreements to suit the needs of each client.
For clients requiring services not offered by the Law Firm, we provide our clients with names and contact details of service providers who suit the profile required and who come with the Law Firm’s recommendation.
As and when required we also offer supervisory services to ease our clients’ burden of following up such service providers. Such service providers include but are not limited to litigation law firms, valuers, accountants, land and estate agents and auctioneers.
To assist our clients’ businesses we keep a keen eye on both legal and political developments in the country and the region. We ensure that our clients are appraised and kept abreast of various developments in legal, regulatory and compliance issues affecting their businesses such as tax, by-laws and subsidiary legislation.
We also assist our clients in undertaking legal audits on their businesses to ensure that they are complying with applicable laws.
